1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and Stable ("Stable", "we", "us"), the operator of stablecollector.com. They govern your use of stablecollector.com, the Stable apps and every related service (the "Service").
By creating an account, ticking the box to accept these Terms, or using the Service, you agree to them and to our Privacy Policy. If you do not agree, do not use the Service.
Section 15 requires most disputes to be resolved by individual binding arbitration and waives class actions and jury trials. Please read it.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. If you use the Service for a business, you confirm you have authority to bind it, and "you" includes that business.
You are responsible for your account: keep your credentials confidential, use a strong password, and tell us promptly through stablecollector.com/contact if you suspect unauthorized access. You are responsible for activity under your account, including by anyone you allow to use it.
The information you give us about yourself must be accurate and kept current.
3. What Stable is, and what it is not
Stable helps collectors catalog their vehicles, keep records, follow markets and share with others they choose. It is an information and record-keeping service.
- A Stable Value, range, comparable sale or market figure is an automated estimate from data available to us, some from third parties. It is not an appraisal, a certified or insurance valuation, an offer to buy or sell, or a promise of what a vehicle will fetch.
- Stable Value is in early access. Our valuation model is still being trained on a much larger set of sales and improved using the vehicles members bring to the Service, so estimates, ranges and methods may change, sometimes significantly, as the data grows and the model learns.
- Nothing in the Service is financial, investment, tax, legal, insurance or mechanical advice. Take advice from a qualified professional before relying on any figure or record for a decision.
- Market data, sale results, VIN decodes, specifications and history-report extractions come from sources we do not control and may be incomplete, out of date or wrong.
- Stable is not a dealer, broker, auctioneer, escrow agent or party to any transaction between users or with third parties, including through listings, introductions or clubs. You deal with other people at your own risk.
- Stable is not a legal repository. Uploading a title or registration does not make Stable a custodian of it or create any legal effect. Keep your originals.
- Events shown in the Service are organized by clubs and other third parties. Stable does not organize, supervise, insure or vet them, their venues or who attends. Driving events, track days and gatherings carry real risk: you take part at your own risk and under the organizer's terms.
4. Your content and documents
You keep ownership of what you add to the Service: vehicle details, photographs, documents (including titles, registrations, invoices and history reports), notes and messages ("Your Content").
You grant Stable a worldwide, non-exclusive, royalty-free license to host, store, copy, process, analyze and display Your Content to operate, secure and improve the Service, and to show it to the people and audiences you choose. We may use de-identified and aggregated data, which does not identify you or your vehicle, for any lawful purpose, including market statistics.
You confirm you have the right to upload Your Content and that it does not infringe anyone's rights or break any law. Upload only what you need: you may redact numbers and personal details that Stable does not require.
Your Content is private unless you choose to share it. You are responsible for the sharing settings you choose, and for what you share with clubs, connections, listings or the public.
5. Automated and AI-generated output
Some features use automated systems and artificial intelligence, for example reading documents, decoding VINs, estimating values and generating Studio images. Their output can be inaccurate or incomplete. Studio images are illustrations generated from your photographs and are not a record of a vehicle's condition. Review output before you rely on or share it.
You may not present AI-generated images as unaltered photographs in a sale or to deceive anyone.
Concierge, Stable's assistant, answers questions using your own records, Stable's market data and, where you ask it to find businesses or public information, searches of the web. Its answers can be wrong or out of date. Businesses it names are suggestions found on the web, not endorsements or referrals: Stable has not vetted them and is not responsible for their work. Concierge never contacts anyone or changes your records for you.
6. Security and your data
We use administrative, technical and physical safeguards designed to protect Your Content and personal information, including encryption in transit, access controls and private storage for documents. Our Privacy Policy explains how we collect, use and share personal information.
No method of storage or transmission is completely secure. We cannot and do not guarantee that Your Content will never be accessed, disclosed, altered, lost or destroyed without authorization, whether by a breach of our systems or those of our service providers, by an attack, or by error.
If we learn of a security incident affecting your personal information, we will notify you and the authorities where the law requires. You agree to help protect your own account and to keep independent copies of important documents.
To the fullest extent the law allows, Stable's responsibility for any security incident is limited as set out in sections 12 and 13.
7. Acceptable use
You agree not to:
- upload anything unlawful, infringing, fraudulent or that you have no right to share, including another person's documents or personal information without their permission;
- misrepresent a vehicle, its identity, history or ownership, or use the Service to defraud anyone;
- access or attempt to access another person's account or data, or probe, scan or test the Service's security without our written permission;
- scrape, copy or harvest the Service or its data;
- interfere with the Service, upload malware, or overload our systems;
- reverse engineer, decompile or disassemble the Service except where the law allows despite this restriction;
- harass other members or use the Service for spam or unsolicited promotion.
You also agree that neither you nor any of your affiliates, nor anyone acting on your or their behalf, will crawl, spider, scrape or otherwise access or monitor the Service, by automated means (including bots, scripts, crawlers and AI agents) or manually, in order to study, copy, reverse engineer or replicate any of its features, functions, workflows, designs, data structures or content, or to develop, train, improve or market a product, platform or service that competes with Stable. This applies whether or not you are a member, and to any account you or they open.
We may remove content and suspend or close accounts that break these Terms, and we may seek any remedy the law allows, including an injunction.
8. Third-party services
The Service relies on and links to third parties, including hosting, payment, email, mapping, market-data and AI providers, auction and listing sites, and history-report providers. We are not responsible for their services, content, availability or security, and your use of them is governed by their terms.
9. Memberships and payments
Some features require a paid membership or purchase. Our Subscription Terms (stablecollector.com/legal/subscription) form part of these Terms and govern memberships: prices, automatic renewal, cancellation, refunds, plan changes and what happens to your data if a membership ends.
In short: memberships renew automatically until cancelled; you can cancel at any time in the app and keep access until the end of the period you paid for; and we give notice before any price change takes effect for you.
10. Stable's property
The Service, its software, design, text, data compilations, valuations, images we create and trademarks belong to Stable or its licensors. Apart from the limited right to use the Service under these Terms, no rights are granted to you.
If you send us feedback or ideas, we may use them without obligation to you.
11. Disclaimers
THE SERVICE, ALL CONTENT, VALUATIONS, MARKET DATA AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, Stable DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE PRESERVED.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Stable AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, VALUE, DATA, GOODWILL OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, INCLUDING ANY RELIANCE ON A VALUATION OR MARKET FIGURE, ANY TRANSACTION WITH ANOTHER PERSON, OR ANY UNAUTHORIZED ACCESS TO, OR ALTERATION, DISCLOSURE OR LOSS OF, YOUR CONTENT OR PERSONAL INFORMATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, Stable'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS, WHATEVER THE LEGAL THEORY, IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID Stable IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS (US$100).
These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limits, so some of them may not apply to you; nothing in these Terms limits liability that cannot be limited by law, such as for fraud, gross negligence or wilful misconduct.
13. Your indemnity
You will defend, indemnify and hold harmless Stable and its owners, officers, employees and agents from any claim, loss, liability, damage or cost (including reasonable legal fees) arising from Your Content, your use of the Service, your dealings with other people, your breach of these Terms, or your violation of any law or anyone's rights.
14. Suspension, closure and your data
You may close your account at any time in Settings, and export your data first. We may suspend or close an account, or stop offering all or part of the Service, with or without notice, including if you break these Terms or if we must for legal or security reasons.
When an account closes we delete or de-identify its data within a reasonable period, except what we must keep by law, for security or to resolve disputes, and copies in backups until they expire. Sections that by their nature should survive closure do, including 3, 4 (the license for de-identified data), 6, and 10 to 17.
15. Disputes: arbitration and class-action waiver
Before starting a claim, write to legal@stablecollector.com and give us 60 days to try to resolve it informally.
Any dispute arising from or relating to the Service or these Terms will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court, and either party may seek an injunction for misuse of intellectual property or unauthorized access to the Service. The arbitrator decides questions of arbitrability.
YOU AND Stable EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO BRING OR TAKE PART IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE ACTION OR ARBITRATION.
You may opt out of this section by writing to legal@stablecollector.com within 30 days of first accepting these Terms, with your name, account email and a clear statement that you opt out of arbitration.
Any claim must be brought within one year after it arises, where the law allows that period to be shortened.
16. Governing law
These Terms are governed by the laws of the State of Michigan and applicable US federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. Subject to section 15, the state and federal courts located in Michigan have exclusive jurisdiction, and you consent to them.
17. Changes and general terms
We may update these Terms. For a material change we will tell you in advance and ask you to accept the new Terms before you continue using the Service; otherwise changes take effect when posted. The date at the top shows the version in force.
These Terms, with the Privacy Policy and any terms shown when you buy something, are the whole agreement between you and Stable about the Service. If a provision is unenforceable, the rest remains in force and the provision is enforced to the greatest extent allowed. Our not enforcing a provision is not a waiver. You may not transfer these Terms; we may transfer them with our business. We are not liable for delays or failures caused by events beyond our reasonable control.
